Terms of Services effective from April 07, 2025

Introduction

Thank you for using the websites, applications and services offered by Gain Media AS d/b/a EasyDesk (together with its subsidiaries and other affiliates, “EasyDesk”, “we”, “us”, “our”), which provides certain help desk, ticketing, and information technology and other services that may be made available by EasyDesk from time to time (EasyDesk’s websites, services, mobile applications and other applications and any related software, as well as improvements, updates, enhancements, error corrections, bug fixes, release notes, upgrades and changes thereto, are referred to collectively, herein as the “EasyDesk Services”). Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services.

This User Terms of Service Agreement (the "User Terms") governs access to and use of the EasyDesk Services by visitors (“Site Visitors”) to our websites (the “Site”) and individuals authorized by a EasyDesk customer (“Customer”) (such individuals, “Authorized Users” and collectively with the Site Visitors, "you" or "Users").

Please read these Terms carefully. They cover important information about Services provided to you and any charges, taxes, and fees we bill you. These Terms include information about future changes to these Terms, automatic renewals, limitations of liability. PLEASE NOTE THAT YOUR USE OF AND ACCESS TO OUR SERVICES ARE SUBJECT TO THE FOLLOWING TERMS; IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS THE SERVICES IN ANY MANNER. These Terms apply to all visitors, users and others who wish to access or use Service.

Purchases

If you wish to purchase any product or service made available through Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.

You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.

We may employ the use of third party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.

We reserve the right to modify the number of words charged for the output or input or impose any usage restrictions per hour, regardless of what was previously committed at the time of subscription. These changes will be made according to our model capacity to safeguard the interests of all users and to ensure uniform access to the service. We take this step to provide equal opportunity to every user and protect the quality of our service.

We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

Subscriptions

Some parts of Service are billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or EasyDesk cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting EasyDesk customer support team.

A valid payment method, including credit card, is required to process the payment for your subscription. You shall provide EasyDesk with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize EasyDesk to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, EasyDesk will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

Free Trial

EasyDesk may, at its sole discretion, offer a free trial of our Subscription service for a limited period of time ("Free Trial"). No credit card information is required to sign up for the Free Trial.

During the Free Trial, you will have full access to all the features of the Enterprise Plan. You can explore the service and decide if it meets your needs.

Important:

  • After the Free Trial ends, your subscription will be paused. You will no longer have access to the full features of the service.
  • At this point, you will be presented with the option to select a paid plan that best suits your needs or continue with the Free Plan with limited features. If you choose a paid plan, you will be prompted to enter your billing information at that time.

At any time and without notice, EasyDesk reserves the right to (i) modify Terms of Service of Free Trial offer, or (ii) cancel such Free Trial offer.

Prohibited Uses

All Users are prohibited from engaging in conduct that presents a credible risk of harm to other users, our customers, the EasyDesk Services or any third parties ("Prohibited Activities"), including but not limited to actual or suspected occurrences or attempts to directly or indirectly:

  • Reverse engineer, decompile, disassemble or otherwise create, attempt to create or derive the source code underlying the EasyDesk;
  • Transfer, resell, lease, license, or assign EasyDesk or otherwise offer EasyDesk on a standalone basis, or permit any third party to access EasyDesk, without express permission from EasyDesk;
  • Use or combine any Customer Data, including on an aggregated, anonymized or de-identified basis, to create any benchmarking, analytics or other reports and materials for publication or display outside of Customer’s internal business purposes or for commercial exploitation;
  • Use or access EasyDesk to build a similar or competitive product or service or for the purpose of obtaining unauthorized access to EasyDesk;
  • Share your EasyDesk username, password, API keys, or any other credentials relating to EasyDesk with any other person, or allow any other person to use your EasyDesk username and password to access EasyDesk, or otherwise allow any other person to use EasyDesk Services intended for your use only;
  • Develop, support or use software, devices, scripts, robots or any other means or processes (including crawlers, browser plugins and add-ons or any other technology) to scrape EasyDesk or otherwise copy profiles and other data from EasyDesk in order to enable, use, or build a similar or competitive product or service;
  • Extract data from EasyDesk for use outside of EasyDesk or as part of any data aggregation service;
  • Tamper with the security of EasyDesk’s systems or tamper with other customer accounts of EasyDesk;
  • Attempt to probe, scan or test the vulnerability of any EasyDesk systems or to breach the security or authentication measures of EasyDesk’s systems;
  • Use EasyDesk to send payments directly or indirectly to, or for the benefit of, any person or entity that is (a) located in any country or jurisdiction that is subject to U.S. economic sanctions; (b) identified on any U.S. government list of prohibition, including the Specially Designated Nationals and Consolidated Sanctions List of the Office of Foreign Assets Control, U.S. Department of the Treasury; or (c) owned or controlled by any person or entity in (a) or (b), or use EasyDesk if you are a person or entity described in (a) or (b);
  • Use or launch any automated system, including "robots," "spiders," or "offline readers," that sends more requests to our servers in a given period of time than a human can reasonably produce in the same period by using a conventional browser;
  • Use EasyDesk in any manner that damages, disables, overburdens, or impairs any of our websites, servers, or otherwise interferes with any other party's use of EasyDesk;
  • Access EasyDesk other than through our interface or use any means or method for masking, pooling, or reducing the measurable number of devices, connections or Users accessing EasyDesk;
  • Engage in harassing or other inappropriate behavior;
  • Exploit any bug, error, flaw or fault in the design, development, or operation of EasyDesk for commercial gain, any purpose not contemplated by the portion of EasyDesk Service containing any such bug, error, flaw or fault, or otherwise in violation of these User Terms;
  • Use EasyDesk for any fraudulent activity or purpose, including attempting to impersonate another person or entity, or falsely stating, misrepresenting or concealing your affiliation with another person or entity; or
  • Use EasyDesk in violation of any applicable law, for illegal activities, or for activities outside the scope expressly permitted hereunder.

Data Protection

The Application stores and processes personal data that you have provided to the Service Provider in order to provide the Service. It is your responsibility to maintain the security of your phone and access to the Application. The Service Provider strongly advises against jailbreaking or rooting your phone, which involves removing software restrictions and limitations imposed by the official operating system of your device. Such actions could expose your phone to malware, viruses, malicious programs, compromise your phone's security features, and may result in the Application not functioning correctly or at all.

Third Party Materials

EasyDesk may integrate with, link to, be embedded within, or otherwise contain information from or about third-party products, services, activities or events (“Third-Party Materials”). We have no responsibility to evaluate, verify, maintain, control or take any action with respect to Third-Party Materials and make no representations and warranties with respect to the accuracy, title, completeness, fitness, reliability, quality, nature or any other attributes of Third-Party Materials. How you interact with Third-Party Materials and their providers are solely between you and such third party, is at your own risk, and may be subject to agreements, understandings, privacy policies, and other terms and conditions applicable to you by the providers of any accessed or used Third-Party Materials.

Accounts

When you create an account with us, you guarantee that you are (i) at least thirteen (13) years of age in the United States and territories not subject to the GDPR and FADP (each as defined in the DPA, as defined in the Customer Agreement); (ii) sixteen (16) years of age in territories subject to the GDPR and FADP, and (iii) otherwise not barred from using EasyDesk under applicable law. You may not access or use EasyDesk for any purpose if either of the conditions in the preceding sentence is not true. If you are a parent or legal guardian of a User under the age of 18 (or the age of legal majority), you will be fully responsible for the acts or omissions of such User in relation to our Sites and other Services.

You also guarantee that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.

Disclaimer Of Warranty

These services are provided by company on an “as is” and “as available” basis. Company makes no representations or warranties of any kind, express or implied, as to the operation of their services, or the information, content or materials included therein. You expressly agree that your use of these services, their content, and any services or items obtained from us is at your sole risk.

Neither company nor any person associated with company makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the services. Without limiting the foregoing, neither company nor anyone associated with company represents or warrants that the services, their content, or any services or items obtained through the services will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that the services or the server that makes it available are free of viruses or other harmful components or that the services or any services or items obtained through the services will otherwise meet your needs or expectations.

Company hereby disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for particular purpose.

The foregoing does not affect any warranties which cannot be excluded or limited under applicable law.

Limitation Of Liability

Except as prohibited by law, you will hold us and our officers, directors, employees, and agents harmless for any indirect, punitive, special, incidental, or consequential damage, however it arises (including attorneys' fees and all related costs and expenses of litigation and arbitration, or at trial or on appeal, if any, whether or not litigation or arbitration is instituted), whether in an action of contract, negligence, or other tortious action, or arising out of or in connection with this agreement, including without limitation any claim for personal injury or property damage, arising from this agreement and any violation by you of any federal, state, or local laws, statutes, rules, or regulations, even if company has been previously advised of the possibility of such damage. Except as prohibited by law, if there is liability found on the part of company, it will be limited to the amount paid for the products and/or services, and under no circumstances will there be consequential or punitive damages. Some states do not allow the exclusion or limitation of punitive, incidental or consequential damages, so the prior limitation or exclusion may not apply to you.

Termination

We may terminate or suspend your account and bar access to Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms.

If you wish to terminate your account, you may simply discontinue using Service.

Changes To Service

We reserve the right to withdraw or amend our Service, and any service or material we provide via Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of Service, or the entire Service, to users, including registered users.

Amendments To Terms

We may amend Terms at any time by posting the amended terms on this site. It is your responsibility to review these Terms periodically.

Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use Service.
